Terms of Service

These Terms of Service ("Terms") govern your access to and use of Elorit, including elorit.com, app.elorit.com, support.elorit.com, and related applications and services (together, the "Service").

By accessing or using the Service — including starting a trial, creating an account, or subscribing — you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we collect and use personal information. It forms part of how we operate the Service alongside these Terms.

Elorit is a digital productivity application that brings tasks, notes, calendars, and daily planning into one system, with separate workspaces for every part of your life. It helps you capture notes and tasks, plan your day, reflect on your work, and use context-aware AI features within your spaces.

We may update, improve, or discontinue parts of the Service over time. We will try to avoid unnecessary disruption, but we do not guarantee that any particular feature will remain available forever.

You must be at least 16 years old to use the Service. If you use Elorit on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

You may access Elorit through an anonymous demo, a free registered account, or a paid Pro account (for example via email or Google sign-in).

• You are responsible for activity under your account or demo session and for keeping your sign-in credentials secure.
• Demo access may be limited in duration, features, or usage. Anonymous demo workspaces may expire. Registered Free and Pro accounts keep your data when Pro features expire or when you remain on Free — Pro features may become unavailable, but content is not deleted for that reason alone.
• Provide accurate information when creating an account, and keep it up to date.
• We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or abuse risk.

Some features require a paid subscription. Prices, plan details, and included features are shown on our pricing page or in the app at the time of purchase.

• Payments are processed by Stripe or another payment provider. Their terms also apply to payment processing.
• Subscriptions renew automatically at the then-current rate unless you cancel before the renewal date through the billing settings or provider portal we make available.
• Fees are generally non-refundable except where required by law or where we expressly offer a refund.
• We may change pricing with notice. Price changes typically apply from the next renewal period after notice.

You retain ownership of the content you create in Elorit, including notes, tasks, plans, habits, journal entries, and similar materials ("Your Content").

You grant us a limited license to host, store, process, display, and transmit Your Content solely as needed to operate and improve the Service — for example to sync across devices, power search, or provide AI features you request.

You are responsible for Your Content and for ensuring you have the rights to use it in Elorit. Do not upload content that infringes others' rights or that you are not allowed to share.

If you use shared spaces, other members of those spaces may see content according to the permissions you set.

Elorit may use artificial intelligence to help with organization, planning, and questions about your workspace. AI outputs can be incomplete, inaccurate, or inappropriate. You remain responsible for reviewing AI suggestions before relying on them.

Do not use AI features for high-stakes decisions without independent verification, including medical, legal, financial, or safety-critical matters.

AI features may be rate-limited, especially during trials, and may send relevant prompts and context to third-party model providers as described in our Privacy Policy.

You agree not to:

• Violate any law or third-party rights
• Attempt to gain unauthorized access to the Service or other users' data
• Probe, scan, or stress-test our systems without permission
• Interfere with or disrupt the Service
• Use the Service to distribute malware, spam, or abusive content
• Reverse engineer the Service except where permitted by law
• Resell, sublicense, or provide the Service to others as a competing product without our consent
• Misuse AI features to generate illegal or harmful content

Elorit, including its software, design, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. You may not copy, modify, or create derivative works of our software or branding except as allowed by these Terms or with our written permission.

The Service may integrate with third parties such as authentication providers, payment processors, calendar providers, and AI model providers. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELORIT AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) FIFTY EUROS (€50).

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by law.

You agree to defend and indemnify Elorit and its operators against claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time and may request account deletion through the product or support.

We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, and limitations of liability) will survive termination.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide additional notice as appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are the entire agreement between you and Elorit regarding the Service and supersede prior agreements on this subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
